Terms and Conditions

§ 1 Scope and provider

These Terms and Conditions apply to all contracts between HeptaMS Limited (82 The Circle, Manly, Whangaparaoa, 0930 New Zealand; NZBN 9429053737977; "HeptaMS") and its customers regarding the services offered on heptams.org.

§ 2 Subject matter

HeptaMS offers in particular: (a) the HeptaMS membership (access to the e-book, knowledge base, community and further member benefits), (b) online and in-person training and certifications, (c) the e-book of "Hepta Management System", and (d) referral of the print edition via third-party platforms.

§ 3 Conclusion of contract

The presentation of offers is not a binding offer. By completing the order process you submit a binding offer. The contract is concluded upon our confirmation (confirmation email or provision of the service).

§ 4 Prices and payment

The prices stated at the time of ordering apply. Prices are shown per region in NZD, EUR or USD. Applicable statutory taxes (e.g. GST in New Zealand, VAT in the EU) are shown where applicable. Payment is made via the payment providers offered during the order process; invoicing is carried out by or on behalf of HeptaMS.

§ 5 Membership and automatic renewal

Membership runs as an annual membership (12 months). For pre-sales, the service period may begin at a later date stated in the offer. Multiple membership periods from different purchases are added together (the available membership balance is extended accordingly).

Unless agreed otherwise, the paid membership renews automatically for another 12 months at the price applicable at the time of conclusion. About eight weeks before it ends we issue the invoice for the next period and notify you. You can stop the renewal at any time: via the cancellation/void link in the renewal email (which voids that invoice), via the cancellation function in your account, or by contacting kontakt@heptams.org. If the renewal invoice is not paid, the membership ends when the paid period expires; access is then restricted (read access remains, posting is no longer possible).

Memberships granted as part of a certification or via a voucher do not renew automatically for a fee; at the end you are simply offered to take out a regular subscription.

§ 6 Vouchers

Voucher codes are redeemable only to the stated extent and within the stated period, are not redeemable for cash and may not be combined with other promotions. Vouchers issued free of charge do not establish any payment claim.

§ 7 Right of withdrawal for consumers (EU/EEA)

Consumers from the EU/EEA have a 14-day right of withdrawal. Digital content and e-books: the right of withdrawal expires early if you expressly agree that we begin performance before the end of the withdrawal period and you confirm your knowledge of the loss of the right of withdrawal. Training on a fixed date: for services on a specific date (live/in-person training) the right of withdrawal may be limited under statutory exceptions; details are provided during the order process.

§ 8 Usage rights

The e-book is provided under the Creative Commons BY-NC-ND 4.0 licence; non-commercial, unaltered sharing is permitted. Course and member content is, unless otherwise marked, intended solely for personal use and may not be shared or used commercially without consent. The marks HeptaMS® and Hepta Management System® remain protected.

§ 9 Certificates

Certificates require successful participation in the associated training and passing the exam; there is no separate sale of exams without training. Certificates are versioned and generally valid indefinitely. Exam conditions (e.g. number of included attempts, fees for further attempts) are communicated in the offer.

§ 10 Liability

HeptaMS is liable without limitation for intent and gross negligence and under mandatory statutory provisions. For slight negligence, HeptaMS is liable only for breach of a material contractual obligation and limited to the foreseeable damage typical for the contract. Otherwise liability is excluded to the extent legally permissible.

§ 11 Governing law and jurisdiction

New Zealand law applies. Mandatory consumer protection provisions of the state in which a consumer has their habitual residence remain unaffected.

§ 12 Final provisions

Should individual provisions be invalid, the validity of the remaining provisions remains unaffected. HeptaMS may amend these Terms with effect for the future; the version valid at the time of ordering is decisive.
